The Delaware court's decision in eBay v. Newmark has been viewed by many commentators as a decisive affirmation of shareholder wealth maximization as the only legally permissible objective of a for-profit corporation. The implications of this court case are of particular concern for the emerging field of social enterprise, in which some organizations, such as, in this case, Craigslist, choose to pursue a social benefit mission in the for-profit corporate form. The eBay v. Newmark decision may also threaten companies that (...) seek to be socially responsible by serving constituencies other than shareholders at the expense of some profit. This examination of the court decision concludes that a legal requirement to maximize shareholder value may not preclude a commitment to social responsibility and may even permit the pursuit of a social benefit objective, such as the preservation of the culture developed by Craigslist. In particular, the court's decision in eBay v. Newmark reflects unique features of the case that could have been avoided by Craigslist and by other similar companies. (shrink)

In this paper an argument by l j jost against the use of j o urmson's concept of central illocutionary force to support a speech act analysis of meaning is rejected on the grounds that jost misinterprets urmson's concept, but it is further argued that the concept correctly interpreted is still of little use because it provides no way of picking out the word whose meaning it explicates.

Having taught management ethics for several years, I have been repeatedly frustrated by the practical mismatch between management problems and moral philosophy…. Unless we can connect ethical theory more closely with management practice, we may be dressing our business curriculum windows with philosophical finery but failing to meet the urgent need for clarity of thought in management ethics.

Red-2 is a computer program for red-cell antibody identification, a piece of "normal science". Abstracting from Red-2, a general problem solving mechanism is described that is especially suited for performing a form of abductive inference or best explanation finding. A problem solver embodying this mechanism synthesizes composite hypotheses by combining hypothesis parts. This is a common task of intelligence, and a component of scientific reasoning. Democracy is more than a collection of institutions, laws, and freely contested sources of authority. It is also an ideal. If we think of this ideal in republican terms, in terms of resistance to domination through the practices of mutual accountability, and if we recall that democratic life invariably comes with loss, then those of us who inhabit a democratic political society will need to locate, and then cultivate, responses to loss that do not undermine our commitment to this ideal. (...) Tolerance, one such response, is widely recognized and yet poorly theorized. Thomas Aquinas did not recognize it, but he did praise and endorse its act, toleration, and he does offer resources for bringing the virtue into focus and identifying some of the distinguishing features of its democratic variant. HOPING TO ADVANCE OUR UNDERSTANDING OF WHAT TOLERANCE INvolves and unsettling our assumptions about its history, in this essay I take a backward glance at some of the discourse about the virtue that emerged among the first Christian apologists in the debates they carried on with their pagan critics. Along the way, several conclusions come into view: that tolerance regards the objectionable differences of those with whom we share some sort of society, that the question of social membership always precedes (...) the question of tolerance, and that the logic of Augustine's largely ignored account of the virtue emerges against the backdrop of these findings from the second, third, and fourth centuries. The debate over international trade has long pitted “free trade” advocates against those who argue that particular reasons support trade restraints. The newest argument is that open trade leads to a “race to the bottom” in the regulation of health, safety, welfare, and especially labor and environmental concerns, harming the nation’s citizens and undermining national sovereignty. One predicate for this argument – that trade increases competitive pressure on domestic industry – is accurate. That, in turn, will raise the cost of (...) some national policies that otherwise would win political approval. But the remainder of the race to the bottom argument rests on assumptions about regulation, the political process, and trade that do not stand up to examination. While responses to increased international competition will vary, the effects of such competition will generally be consistent with any meaningful notion of sovereignty and also will improve national welfare judged by common economic norms.Le débat sur le commerce international a longtemps opposé les défenseurs du libre échange à ceux qui soutiennent qu’il existe des raisons particulières en faveur de barrières à l’échange.
