The purpose of this article is to analyse the main provisions of the European private company not limited by the provisions as presented by the European Commission in its Proposal for a Council Regulation on the statute for European private company, but also including amendments introduced by the European Parliament and taking into account the negotiations in the Council of the European Union. This article analyses the development of the European private company and explains why such legal form of a (...) company is needed. It provides the analysis of the main provisions of the proposal for the Regulation, the assessment of advantages and drawbacks of the alternatives introduced by the European Parliament and considered in the Council of the European Union, evaluation of the response of these provisions to the specific needs of small and medium-sized enterprises. The article also presents conclusions and suggestions for the improvement of the legal provisions. (shrink)

The article analyses the key issues of the legal status of the sole managing body from the perspective of the valid legal regulation, the established case-law and doctrine. The first part of the article analyses the dualism of the manager’s legal status from the perspective of civil law and labour law. The analysis of the latest case-law presented herein shows that the rule of “internal” and “external” relations between the manager and the company formulated in the case-law is applied differently, (...) and the criterion of distinguishing the manager’s as the subject of the labour law and that of the civil law statuses still remains unclear. The authors of the article are of the view that due to insufficient legal regulation in force rules established by the case-law to regulate the manager’s legal status cannot ensure the required legal certainty. Thus, the reform of the manager’s legal regulation is essential. The second part of the article strives to answer the question what legal regulation models exist and what are the main criteria of quality legal regulation. The comparative analysis of the legal status regulation of the sole managing body allows to determine the main available regulation models of the manager’s legal status and to distinguish their advantages and disadvantages. The authors of the article believe that it is necessary to take regard to other states’ practices regulating the relations at issue, however, while creating such legal regulation, the evaluation of economic, cultural and social peculiarities of Lithuania is also required. In search for the most appropriate model of the manager’s legal status, attention should be drawn to the fact that in some aspects the labour law regime is too restrictive (e.g., shareholders cannot recall the manager, who is on maternal leave, and the manager at interim does not have full authority) and uncoordinated with the doctrine of the companies’ law. Moreover, quite a few questions directly related to the issues of the manager’s authority do not fall or only partially fall into the scope of the labour law. On the other hand, the problem of the manager’s legal status involves a broader scope of points of the companies’ law than the dualism of the manager’s status, and a part of these points has already been regulated by the Law on Companies (the agreement conclusion, termination, removal from the register of legal persons, terms of notice). In regard to this, a question can be raised if it not be better to regulate the issues of the manager’s legal status by the provisions of the Law on Companies and not of the Labour Code. It is proposed to create a specific legal regulation of the companies’ law, which could meet the needs of business and match up to the doctrine of the companies’ law, which is already being applied. RESUMEN Un atento repaso por la concepción de la violencia chulhaniana en el contexto de las formas tradicionales que han estudiado este fenómeno social permite exponer con mayor detalle y claridad esta propuesta en cuanto a la relación con el otro se refiere. Cuando lo sucedido durante el colonialismo que azotó al mundo en el transcurso de los siglos XVIII y XIX se asumía como las más peligrosas acciones cometidas en procura de la supresión de las características propias de cada (...) uno, en la medida en que los fenómenos de invasión suprimían materialmente la diferencia que poblaba el mundo, apareció la violencia de la positividad como la disposición sistémica que parte de la libertad y el consentimiento individual para, tácitamente, eliminar cualquier tipo de sentido de otredad presente en su constitución. ABSTRACT A careful review of the conception of Chulhanian violence in the context of the traditional forms that have studied this social phenomenon makes it possible to explain in greater detail and clarity this proposal as to the relationship with the other refers. When what happened during colonialism that hit the world during the 18th and 19th centuries was assumed to be the most dangerous actions committed in seeking the suppression of each other's own characteristics to the extent that invasion phenomena materially suppressed the difference that populated the world, the violence of positivity appeared as the systemic disposition that begins with freedom and individual consent to, tacitly, to eliminate any kind of sense of otherness present in its constitution. La paz y la seguridad internacionales no sólo son el resultado de la ausencia de guerras, es decir, no son únicamente el fundamento de la preservación del orden o ausencia de violencia, sino que incluyen también, para ser alcanzadas, aspectos diversos, tales como la seguridad alimentaria. Dentro del abanico de los nuevos riesgos y amenazas a la paz y seguridad internacionales, cada vez más se está teniendo en consideración las repercusiones negativas que tienen las crisis alimentarias y el hambre que (...) sufren en torno a 800 millones de personas en todo el mundo. La preocupación y abordaje de estos temas hizo que por primera vez, el 30 de marzo de 2016, la FAO se dirigiese al Consejo de Seguridad con el objetivo de reafirmar la necesidad de mejorar la seguridad alimentaria como aspecto fundamental para la consolidación de una paz y seguridad internacional sostenibles. De acuerdo con el Instituto Nacional de Medicina Legal y Ciencias Forenses, en su informe Forensis 2017. Datos para la vida, los hechos de discriminación y violencia de pareja contra las mujeres en Colombia se han incrementado en los últimos años; esta situación podría catalogarse como producto de una sociedad que ha sido moldeada a partir del esquema machista y patriarcal que caracteriza a las sociedades que han estado influenciadas por tradiciones como la religión católica, que parecen justificar, en algunos (...) de los relatos de sus textos sagrados, la condición de dominación que ejerce el hombre sobre la mujer. El Estado colombiano, que en sus inicios normativos se vio influenciado por esta tradición, ha buscado, a partir de la Constitución de 1991, y a través de su posterior normatividad, no solo la reivindicación de la mujer, sino la sanción a los agresores; sin embargo, estas medidas no han sido eficientes ya que no se ha podido garantizar un verdadero ambiente de seguridad y respeto por los derechos fundamentales de las mujeres. Por lo tanto, se hace necesario intervenir la configuración de la cultura colombiana, en aras de modificar las bases culturales sobre las cuales se construyó el imaginario social que perpetúa la estructura de dominación y discriminación contra la mujer. Resumen: El objetivo de este ensayo es presentar el procedimiento, hallazgos y lecciones de una revisión de literatura soportada en elementos estructurados y sistemáticos en una investigación cuyo objetivo es encontrar condiciones de satisfacción para una teoría integrada de la acción colectiva desde la economía política. El resultado de este ejercicio es la exposición de cómo la revisión sistemática de literatura interioriza en el aspecto metodológico de las investigaciones cualitativas la intuición de los autores, sin dejar de lado la asepsia (...) de las revisiones estructuradas. El aporte radica entonces en discutir la importancia de la adopción de reglas para la búsqueda y revisión bibliográfica, al tiempo de advertir la necesidad de incorporar algunos criterios subjetivos para complementar dichas reglas rígidas que supone un protocolo estructurado.: This essay presents the procedure, findings and lessons of a review of literature supported by structured and systematic elements in a research whose objective is to find satisfaction conditions for an integrated theory of collective action from political economy. The result of this exercise is the exposition of how the systematic review of literature internalizes in the methodological aspect of qualitative research the intuition of the authors, without neglecting the asepsis of structured reviews. The contribution then lies in discussing the importance of adopting rules for searching and reviewing the literature, while noting the need to incorporate some subjective criteria to complement these rigid rules that are a structured protocol. El texto reflexiona sobre el vaciamiento neoliberal de la política, despolitizando la vida y cuantificando la realidad. El neoliberalismo enaltece la libertad individual, llevando a un individualismo extremo que amenaza el tejido social. La destrucción creativa moldea cuerpos y subjetividades, promoviendo competencia y autosacrificio. La exterioridad neoliberal afecta a los individuos, enfocándolos en su propia libertad y bloqueando su capacidad de actuar con otros. La crítica se centra en recuperar la sensibilidad y el deseo para restaurar la vida colectiva, explorando (...) la relación entre el cuerpo entristecido y la lógica neoliberal de acumulación y autorresponsabilidad, sugiriendo que puede generar cuerpos tristes y descontentos -todo esto en atención a una ontología spinozista-. Se critica, así, el culto a la vida en la sociedad neoliberal y cómo se marginaliza a los cuerpos vulnerables, abogando por abrazar la vulnerabilidad y la interdependencia para superar la lógica destructiva y la obsesión por la acumulación. On sayings and teachings of 11th century Fatimid Caliph.

In the context of a didactic for learning and updating the texts and classical languages, this work proposes a translation and interpretation of the philosophical and political sense of the fable The Aged Horse of Babrius. The translation follows the Greek version of Crusius and the Gredos edition, while the interpretation is based on the philosophical and political reflections of Cicero and Plutarch in On old Age and Whether an old man should engage in plublic affairs. These reflections can also (...) be seen from a statistical analysis of Long-Lived Men of Lucian of Samosata. Thus, the meaning of the fable says that young statesmen should avoid becoming the next useless politicians or “old horses” of the State. This reflection contributes today to weigh the political participation of young people and updates the civic importance of the elderly in their intervention on public affairs. (shrink)

Marital and family structures, together with the closely related areas of gender relations and attitudes to sexuality, constitute one area in which scholars have suggested medieval England clearly differs from other regions. It is always difficult to compare across regions when the nature of the evidence differs; but because marriage and sexual behavior were under the jurisdiction of the church courts and because the ecclesiastical court system used the same set of legal rules across Europe, one level of difficulty disappears (...) from a comparison. Records from different regions reflect somewhat different procedures or penalties, based on local synodal statutes, but are more commensurable than records of the secular courts, which did not depend on a common set of rules. Basic principles of canon law were universally accepted in western Christendom: marriage was formed by the consent of the parties; marital promises followed by sexual intercourse created an indissoluble marriage; and any extramarital sexual activity by either a husband or a wife was adultery. An examination of church court records from late-medieval Paris compared with better-known records from England suggests that differences between England and northern France in the understanding of sexual behavior and the formation of unions, while they reflect different approaches, were still addressing fundamentally the same issues, and the demographic patterns may not have been as different as scholars have assumed. Nasir Khusraw was a leading Ismaili poet and theologian-philosopher of the Fatimid period whose writings have had a major formative influence on the Ismaili communities of Iran, Afghanistan and Central Asia. The bulk of his surviving work was produced in exile in a remote mountainous region of Badakhshan where he sought refuge from persecution in his native district of Balkh. This is the first of his doctrinal treatises to be translated into English.
