This article examines whether and how the participation of women in the firm’s board of directors and senior management enhances financial performance. We use the Fama and French (1992, 1993) valuation framework to take the level of risk into consideration, when comparing firm performances, whereas previous studies used either raw stock returns or accounting ratios. Our results indicate that firms operating in complex environments do generate positive and significant abnormal returns when they have a high proportion of women officers. Although (...) the participation of women as directors does not seem to make a difference in this regard, firms with a high proportion of women in both their management and governance systems generate enough value to keep up with normal stock-market returns. These findings tend to support the policies currently being discussed or implemented in some countries and organizations to foster the advancement of women in business. (shrink)

This study relies on environmental stewardship, a stakeholder-enlarged view of stewardship theory, and institutional theory to analyze the relationship between CEO compensation and firms’ environmental commitment in a worldwide sample of 520 large listed firms. Our findings show that environment friendly firms pay their CEOs less total compensation and rely less on incentive-based compensation than environment careless firms. This negative relationship is stronger in institutional contexts where national environmental regulations are weaker. Our findings have important theoretical meaning and practical implications. (...) Results show that CEOs do not necessarily act opportunistically; rather some of them may be willing to act as stewards of the natural environment and accept a lower, less incentive-based compensation from environment friendly firms. This study also provides evidence of the important influence of the institutional context in setting-up CEO compensation as the relationship is stronger when national environmental regulations are weaker. Our findings question the universal validity of agency theory in explaining CEO compensation. Compensation based on pecuniary incentives might be less indicated to motivate CEOs who feel rewarded by playing a stewardship role for environment friendly firms. When designing compensation for CEOs, compensation committees and external compensation advisors should consider psychological and institutional factors that might affect CEO motivation. (shrink)

The inconclusiveness of previous research on the association between gender diverse boards and corporate social performance has led us to revisit the question in light of stakeholder management and institutional theories. Given that corporate social responsibility is a multidimensional concept, we test the influence of GDB on various groups of stakeholders. By considering the interaction between stakeholders’ power and directors’ personal motivations toward the prioritization of stakeholders’ claims, we find that GDB are positively related to CSR dimensions that are related (...) to less powerful stakeholders such as the environment, contractors, and the community. However, GDB do not appear to have a significant impact on CSR dimensions that are associated with stakeholders who benefit from more institutionalized power, such as employees and customers. Companies that are serious about corporate governance and business ethics are turning their attention to gender diversity at the most senior levels of business . Board gender diversity has been the subject of several studies carried out by international organizations such as Catalyst , the World Economic Forum , and the European Board Diversity Analysis . They all lead to reports confirming the overall relatively low proportion of women on boards and the slow pace at which more women are being (...) appointed. Furthermore, the proportion of women on corporate boards varies much across countries. Based on institutional theory, this study hypothesizes and tests whether this variation can be attributed to differences in cultural settings across countries. Our analysis of the representation of women on boards for 32 countries during 2010 reveals that two cultural characteristics are indeed associated with the observed differences. We use the cultural dimensions proposed by Hofstede to measure this construct. Results show that countries which have the greatest tolerance for inequalities in the distribution of power and those that tend to value the role of men generally exhibit lower representations of women on boards. This study assesses the causal relationship between corporate social performance (CSP) and financial performance (FP). We perform our empirical analyses on a sample of 179 publicly held Canadian firms and use the measures of CSP provided by Canadian Social Investment Database for the years 2004 and 2005. Using the “Granger causality” approach, we find no significant relationship between a composite measure of a firm’s CSP and FP, except for market returns. However, using individual measures of CSP, we find a robust (...) significant negative impact of the environmental dimension of CSP and three measures of FP, namely return on assets, return on equity, and market returns. This latter finding is consistent, at least in the short run, with the trade-off hypothesis and, in part, with the negative synergy hypothesis which states that socially responsible firms experience lower profits and reduced shareholder wealth, which in turn limits the socially responsible investments. This study investigates the effect of country-level emancipative forces on corporate gender diversity around the world. Based on Welzel’s theory of emancipation, we develop an emancipatory framework of board gender diversity that explains how action resources, emancipative values and civic entitlements enable, motivate and encourage women to take leadership roles on corporate boards. Using a sample of 6390 firms operating in 30 countries around the world, our results show positive single and combined effects of the framework components on board gender (...) diversity. Our research adds to the existing literature in a twofold manner. First, our integrated framework offers a more encompassing, complete and theoretically richer picture of the key drivers of board gender diversity. Second, by testing the framework empirically, we extend the evidence on national drivers of board gender diversity. (shrink)

This study investigates the engagement of family firms in corporate social responsibility. We first compare their corporate social performance to non-family firms. Then, following recent evidence on the heterogeneity of family firms, we examine two factors that may influence CSP within family firms: the level of family control and the governance orientation of the country in which they operate. This research is based on a theoretical framework which considers both agency and socioemotional wealth influences on family firms CSR engagements. Overall, (...) we find that family firms exhibit lower CSP than non-family firms. But when focusing on family firms, our analyses show a curvilinear relationship between family control and CSP. At lower levels of control, family owners invest more in social initiatives to protect their SEW. Beyond a threshold level of control that we estimate at 36 % in our sample, economic considerations prevail over SEW and social performance starts decreasing. We also find that family firms operating in stakeholder-oriented countries are more attentive to social concerns than those operating in more shareholder-oriented countries. (shrink)

This article proposes and empirically tests a theoretical framework incorporating Reidenbach and Robin’s (J Bus Ethics 10(4):273–284, 1991 ) conceptual model of corporate moral development. The framework is used to examine the relation between governance and business ethics, as proxied by diversity management (DM), and financial reporting quality, as proxied by the magnitude of earnings management (EM). The level of DM and governance quality are measured in accordance with the ratings of Jantzi Research (JR), a leading provider of social and (...) governance research for institutional investors. This DM score is part of an index developed by JR that investment managers use to integrate DM criteria into their investment decisions. As expected, a negative relation between corporate DM development and financial reporting quality is found while controlling for other factors known in the literatures on governance and accounting choices to affect earnings quality. Despite some caveats presented in conclusion, this study contributes to the ethics, governance, and financial reporting literatures by studying the dynamics between governance and ethics in the prevention of EM. Car la logique mathématique, liée à l'histoire de l'algèbre et de la calculabilité, ménageait la place pour une activité philosophique délivrée à son tour des opérations obscures du sens commun et consciente de ses symbolismes. Ce qui redonne sens aux réformes de l'entendement, opération philosophique essentielle et constante, contre les méthodes supposées régir toutes les manières de la connaissance. Cette autre histoire se trame de Port-Royal, à d'Alembert, Wittgenstein, Cavaillès et Merleau-Ponty. Alexandre Marc, philosophe jeté hors de sa Russie natale par la victoire des bolcheviques, était leur fédérateur et animateur principal.0De ces idées, il fit une (...) doctrine, le fédéralisme personnaliste, à l'approfondissement et à la diffusion de laquelle il consacra toute sa vie. On pourrait la croire aujourd'hui oubliée. Et pourtant, c'est en elle qu'ont germé des réalisations et des propositions, révolutionnaires en ces temps et très présentes dans les débats actuels : fédéralisme européen, crise de civilisation, allocation universelle, subsidiarité et régionalisme, etc.0Il en est jusqu'à la pensée dialectique du " en même temps ", chère au macronisme, qui apparaît comme une transposition hasardeuse de la dialectique inclusive, théorisée par Alexandre Marc. Sa disparition, voilà vingt ans, appelle une évaluation de cette doctrine et une tentative d'appréciation critique de sa pertinence. Ce livre s'efforce d'illustrer cette ambition au travers des réflexions des auteurs sur certains de ses aspects névralgiques comme le personnalisme, la crise, la dialectique ou l'action politique.0Certains ont été des élèves et des proches collaborateurs d'Alexandre Marc ; d'autres ne l'ont connu qu'au travers de ses écrits ou de ses conférences. The aim of this paper is to demonstrate that aesthetics had its place in Fichte’s early system of the WL, and that due to contingent circumstances he did not have the chance to expound it. But we can reconstruct the main lines of what his aesthetics would have looked like if we pay attention to the article sent to Schiller in 1795 on the “spirit” and the “letter” in philosophy, completing it with the courses he gave in the preceding months (...) on that topic and with other sources. We discover not only that aesthetics is an important part of the philosophical system but that art stands close the act of philosophising itself. In fact, both the philosopher and the artist draw from the same original source: “spirit” as defined in Kant’s third Critique. For the philosopher as well as for the artist the central faculty is then “imagination”, an imagination that relies on “feeling”. In the end Fichte sketches an aesthetics based on the creative genius of the artist, leaving little room for the faculty of judgment and for taste, that is: the receptive attitude toward beauty, that play a prominent role in Kant’s aesthetics. C'est (...) cette thèse que le présent ouvrage s'efforce de discuter et de soumettre à un examen critique. Quelle compréhension du temps au cours de la métaphysique a rendu possible sa " subjectivation "? N'est-ce pas d'abord une certaine saisie du phénomène temporel comme phénomène intratemporel? Et cette interprétation, dont il devient possible d'entreprendre une généalogie à la lumière des analyses de Platon, Aristote et Augustin, ne prescrit-elle pas son cadre conceptuel à la métaphysique elle-même? Mais, si la temporalité n'est pas pensable à l'aune de la subjectivité métaphysique (dont le Dasein, à certains égards du moins, constitue l'ultime figure), n'est-il pas requis, pour tenter d'en produire une phénoménologie, de changer de fil conducteur? C'est en ce point que le présent ouvrage rejoint le projet de L'événement et le monde, celui d'une herméneutique événementiale de l'humain, dont il constitue à la fois l'approfondissement et l'achèvement. Edited by Katerina Ierodiakonou, with a postface by Jonathan Barnes. Oxford: Oxford University Press, 2022. Pp. 256. Hardback, $80.00.From the 1970s until his tragic death in 2007, Michael Frede was one of the most prominent scholars in ancient Greek philosophy, with landmark contributions to the study of Aristotle and of Hellenistic thought in particular. This (...) volume contains his theoretical reflections on the work of historians of philosophy. The main part of the book reproduces with minor corrections the previously unpublished text of the Nellie Wallace Lectures that Frede gave in 1989–90 in Oxford (1–135). Then come three papers that he published on pretty much the same topic between 1987 and 1992 (137–88). Jonathan Barnes's postface, finally, launches an exciting discussion of Frede's proposals by raising a number of questions and critical remarks about them (189–230).Frede's main claim throughout the book is that there is, and should be, a distinctively historical approach to the history of philosophy that has not yet been sufficiently recognized as such in the academic world. This is not to say that he considers more philosophical approaches to be illegitimate. His point is that we have to be clear about the distinction and what it involves in terms of requirements and methods. What Frede calls the "historical history of philosophy" is thus contrasted by him with two varieties of philosophical approaches. One of them he identifies as the "philosophical history of philosophy." It consists in retrospectively studying the past of philosophy as a kind of maturation toward some more recent doctrinal stage, as Aristotle or Hegel saliently did with their respective predecessors. Frede takes this to be "a perfectly intelligible and legitimate, though perhaps not particularly interesting or fruitful, enterprise" (41). Most of the time, he thinks, it would be led by its own philosophical presuppositions to be too selective and to provide a badly distorted picture of past philosophy.Frede is much more sympathetic to the other philosophical approach to the history of philosophy he acknowledges, the one he calls "doxography." This is the study of past philosophers with the aim of finding something of interest in them for ongoing philosophical discussions—a familiar practice, indeed, in the philosophical discipline as we know it. There is an inevitable amount of anachronism in such endeavors, according to Frede, insofar as the commentators will have to reformulate the old views in contemporary terms to a certain extent and to look at them in connection with the questions that are currently debated in the field. But Frede deems this kind of anachronism acceptable as long as sufficient care is taken to correctly identify the views of the past we are interested in and to report them in the best available way. He strongly insists, however, that there are inherent risks of distortion in this approach. This might not be a problem if we are prepared to deal, as philosophers, with views that were not exactly those of the past; but we then run the risk of leaving out something of great philosophical interest, even to us, since "as a rule the philosopher subjected to doxographical treatment was a much better philosopher than the doxographer" (34). If we turn to the past for philosophical inspiration, we should also do it seriously, and this presupposes a historical study of past authors that is pursued for its own sake. La première constitue une introduction à l'épistémologie des sciences en général, articulée autour de notions telles que " vérité ", " problème ", " champ ", " paradigme ", etc. Les auteurs de référence y sont Gaston Bachelard, Pierre Bourdieu, Karl Popper, Michel Meyer. Il s'agit en gros de montrer comment l'activité scientifique secrète ses propres modes d'énonciation de vérités, contribuant ainsi à récuser tout projet (...) de relativisme radical. La seconde partie consiste en une application de ces préceptes aux sciences du social, notamment à la sociologie. Y sont examinées les oppositions paradigmatiques classiques, ainsi que celles de l'explication à la compréhension, de la démarche qualitative à la démarche quantitative, etc. Le souci didactique domine dans l'écriture et dans la réduction des références à l'indispensable. Enfin, qu'en est-il de la phénoménologie dans son rapport à la métaphysique, non pas au sens " scolaire " du terme, mais dans celui - que lui ont conféré (...) Nietzsche, Bergson et Heidegger - d'une configuration historique unitaire de la pensée occidentale dans son ensemble? Ces trois questions parcourent ce recueil d'études et lui confèrent sa cohésion interne. À travers elles, il s'agit de se frayer un chemin vers la question de l'apparaître en tant que tel, qu'Héraclite a placée au ceux du questionnement de la " philosophie " naissante, et que l'entreprise phénoménologique ne peut manquer de soulever et, à son tour, de perpétuer.
