Chinese listed companies have a two-tier governance structure that comprises a supervisory board/committee and the board of directors. However, as there is no hierarchical relationship between them, the two boards are independent. This is different from the governance mechanism in Continental Europe in which the SB appoints the directors of the management board; in this sense, the Chinese two-tier governance structure is unique. We investigate the impact of governance characteristics and ownership structure on gender (...) diversity of both the BoD and the SB for a sample of 892 Chinese Initial Public Offerings floated in both the Shanghai and Shenzhen Stock Exchanges. We find that the average proportion of female directors and female SB members on the BoD and the SB are 10 and 22 %, respectively. Using both static and dynamic panel data methods, we find that there is no significant impact of board structure on gender diversity in China. However, we find a positive and significant relationship between SB size and gender diversity. We also find that the higher the state ownership, the lower the female representation on both boards. Finally, our findings show that there is a bi-directional relationship between financial performance and the proportion of female directors sitting on the BoD. (shrink)

This study investigates the extent to which South African listed corporations voluntarily disclose information on black economic empowerment (BEE) in their annual and sustainability reports using a sample of 75 listed corporations from 2003 to 2009. BEE is a form of socio-economic affirmative action championed by the African National Congress (ANC)-led government to address historical imbalances in business participation and ownership in South Africa. We find that block ownership and institutional ownership are negatively associated with the extent of BEE disclosures, (...) whereas government ownership, board diversity (age, education, ethnicity, nationality and occupation), board size and non-executive directors are positively related to the extent of BEE disclosures. By contrast, dual board leadership structure and gender diversity are not significantly associated with BEE disclosures. Our results are robust when controlling for firm-level characteristics, fixed-effects and alternative disclosure proxies. Our results are largely consistent with the predictions of agency, legitimacy, resource dependence and stakeholder theories. (shrink)

We examine the dynamics between enforcement actions and the responses from both the board of directors and supervisory boards amid China's governance reform. Rather than examining determinants of fraudulent activities, we investigate, after enforcement actions are imposed, whether the board of directors and supervisory boards react differently, and whether their different reactions play a role in preventing future occurrences of frauds. We find that both boards react to enforcement actions, but only the responses from the board of (...) directors help us curb future enforcements under certain circumstances. The supervisory board fails to play any role in preventing future enforcements, even though it is one of the two monitoring mechanisms in the listed companies. Policy implications are discussed. This article empirically examines how the performance of Indian manufacturing corporations is affected by corporate governance practices. The study has used panel data comprising of 76 manufacturing companies listed in BSE, for a consecutive six-year period, from 2015-2016 to 2020-2021. The study has applied panel data regression model to enquire the impact of ownership structure variables; and also board composition variables on firm performance using Tobin's Q and ROA. The findings reveal that ownership structure variables, board (...) size and multiplicity of the board positively affect both ROA and Tobin's Q. While independent board and women director show positive effect on Tobin's Q, the CEO-duality is negatively associated with Tobin's Q. The study suggests policymakers to enhance the multiplicity of directors and gender diversity, to maintain the right proportion of board independency, and to increase the size of board. Over the past 20 years or so, a small but growing literature has emerged with the aim of modeling agents who are unaware of certain things. In this paper we compare two different approaches to modeling unawareness: the object-based approach of Board and Chung (Object-based unawareness: theory and applications. University of Minnesota, Mimeo, 2008) and the subjective-state-space approach of Heifetz et al. (J Econ Theory 130: 78-94,2006). In particular, we show that subjectivestate-space models (henceforth HMS structures) can be embedded (...) within object-based models (henceforth OBU structures), demonstrating that the latter are at least as expressive. As long as certain restrictions are imposed on the form of the OBU structure, the embedding can also go the other way. A generalization of HMS structures (relaxing the partitional properties of knowledge) gives us a full converse. (shrink)

Institutional review boards have a dual goal: first, to protect the rights and welfare of human research subjects, and second, to support and facilitate the conduct of valuable research. In striving to achieve these goals, IRBs must often consider conflicting interests. In the discussion below, we characterize research oversight as having three elements: research regulations, which establish a minimum acceptable standard for research conduct; ethical principles, which help us identify and define relevant ethical issues; and virtue ethics, which guides (...) the prioritization of relevant issues. We describe specific ways in which the lessons of virtue ethics suggest revisions to the IRB structure and review process, the education and training of IRB members, and the appropriate limits of regulations in research ethics oversight. In a seminal paper, Aumann (1987, Econometrica 55, 1–18) showed how the choices of rational players could be analyzed in a unified state space framework. His innovation was to include the choices of the players in the description of the states, thus abolishing Savage’s (1954, The Foundations of Statistics. Wiley, New York) distinction between acts and consequences. But this simplification comes at a price: Aumann’s notion of Bayes rationality does not allow players to evaluate what would happen were they to (...) deviate from their actual choices. We show how the addition of a causal structure to the framework enables us to analyze such counterfactual statements, and use it to introduce a notion of causal rationality. Under a plausible causal independence condition, the two notions are shown to be equivalent. If we are prepared to accept this condition we can dispense with the causal apparatus and retain Aumann’s original framework. (shrink)

: Undoubtedly, in the formation of history, relations between religious structures and political powers, which are shaped within certain principles, have an important place. The course of these relations determines the strength and domain of both sides. This form of relationship, in some cases, evolves in favor of political power, and sometimes manifests itself as a political direction of religious interests. It is possible to see politics as a direction of religion or to use it in the direction of its (...) own interests in the politics that the Soviet Union has implemented since the Second World War. As a matter of fact, the Soviet Union, which has embraced the ideology of official atheism and struggled against religious beliefs, did not stop using religion/church for conjuration in its own interests. In this context, The Soviet leader Stalin has almost reconstructed the Russian Orthodox Church, which he had been trying to destroy since the early years of the Second World War. Even, Moscow has made serious attempts to make Patriarchate the pioneer of the Orthodox world. In this article, we aim to emphasize Stalin’s church politics and reasons. We will also stress the reasons behind the Council of the Orthodox Churches, which Stalin sought to achieve through the Moscow Patriarchate in 1947. Finally, we will touch on the policy of the Fener Greek Patriarch against these developments. Summary: Throughout history, politics of states have been under the influence of religion. Likewise, religions have directed political authority in the direction of their own interests. Sometimes a religion takes the state under its influence; sometimes under a state takes a religion under the influence and they try to use the other one in the interests of itself. Concepts that define religion-state relations have emerged under the influence of experiences experienced over time. Secularism is at the head of the concepts that determine religion-state relations today. What secularism is and how it is practiced is much debated in the scientific circles. Despite all these struggles, however, no binding definition has been reached for all political issues. Certainly, the subjective structure of states plays an important role in regulating religion-state relations. The political ideology adopted by this political structure and the world view varies. Sometimes political structures with official atheist ideology can break the principle of secularism. While these ideologies are ungodly in their nature, they benefit from political interests. As an example, it is possible to show the Soviet Union with an atheist ideology. Because the Soviet regime used religion in the direction of political interests between 1943-1948. The Russian Orthodox Church, which was very active and competent during the reign of Tsarist Russia, lost its power with the Bolshevik Revolution in 1917. The Soviet regime has made the Russian Orthodox Church an illegal institution. The struggle against the church by the regime continued until the Second World War. With the Second World War, Stalin's church politics changed. There is no doubt that this political change has become more than one reason. The first is that the state has entered into a war. Stalin did not want to continue the struggle with religion while the war was going on. Another reason for pushing Stalin for a policy change towards the Church is the anti-Soviet propaganda carried out by the Germans. As a matter of fact, the Germans defined themselves as the savior of the Russian people. It was also alleged that Germany was waging a war against the Soviets in order to free Russian people from communism. Even brochures were taken from the airplanes in this frame. The Germans aimed to break the resistance of the Russian people with this method. Stalin acted to ward off this propaganda of the Germans. Stalin therefore had to keep an eye on church politics and stopped the oppression against the church. In this framework, opportunities were provided for the Russian Orthodox Church. For example, have been approved to organize rites in churches. The priests are encouraged to strengthen hand the people. Also closed churches have been reopened by Stalin. In this way the German propaganda has been wasted. The Second World War ended with the victory of the Soviet Union. Stalin, however, continued to use the church after the war was over. So why did Stalin continue to support the church as an atheist? What were the reasons for pushing Stalin into this policy? Stalin's post-war church policy has multiple causes. The most important of these is spreading the Soviet influence over the entire Balkans and Middle East geography through the Russian Orthodox Church. Undoubtedly this is related to the long-term policies of the Soviets. Because the war has changed all the balances in the world. This has given new opportunities to the Soviets. At the beginning of these, the Orthodox world comes to the Soviet influence. It seems that the steps towards this have been started to be started from 1945. In this context, the Russian Orthodox Church found important activities. For example, the Moscow Patriarch has established relations with other Orthodox Churches. Jerusalem, Athens, Cyprus, Antakya churches were visited. In the end, an attempt was made to collect the Orthodox Council. The struggle of the Western and Eastern bloc emerged after the Second World War divided the Orthodox world into two camps. In this process, the Greek, Cyprus and Jerusalem Orthodox churches under the leadership of the Fener Patriarchate were under American influence. The Serbian, Bulgarian and Antiochian Orthodox Churches under the leadership of the Moscow Patriarchate were under Soviet influence. For these reasons, the Soviet regime, which has been fighting for the Church since the Bolshevik Revolution in 1917, has given up its position. It is understood from this historical fact that a regime adopting irreligion as an official ideology uses religion in its own interests as needed. This indicates that secularism is relative. This study will try to show how the Soviet Union uses the Russian Orthodox Church in its own interests despite the atheism ideology. (shrink)

The main aim of this study is to undertake a critical examination of the ethical and developmental performance of an Islamic bank as communicated in its annual reports over a period of 28 years. Islami Bank Bangladesh Limited’s ethical performance and disclosures are further analyzed through interviews conducted with the bank’s senior management. The key findings include an overall increase in ethical disclosures during the study period. However, the focus on various stakeholders’ needs has varied over time reflecting the evolving (...) nature of the Islamic finance industry over the last three decades. Based on a secular economy, IBBL focused in the first two decades on the “Particular” Shariah compliance disclosure as a way of establishing its reputation and differentiating itself from conventional banks in a dual banking system. Post 2005, the ethical performance and disclosure shifted to more “Universal” disclosures such as sustainability, charity, employees, and community related disclosures signaling responsible conduct and the bank’s adoption of a “wider stakeholder approach.” However the bank is still failing to provide full disclosure on certain significant categories such as sources and uses of disposable income, thereby contradicting the principles of full and comprehensive disclosure and accountability. In addition, the structure of IBBL’s investment portfolio reveals an overreliance on debt-based financial instruments and a shortcoming in fulfilling the developmental and social objectives of Islamic finance. This is evidenced by the “qualified” Shariah Supervisory Board reports that the bank consistently received. This research provides further evidence that Islamic banking and Finance in its current practices reflect the “global” and the “local” influences in an era dominated by global conventional finance. This book investigates the metaphysical position of dual-aspect monism, with particular emphasis on the concept of meaning as a fundamental feature of the fabric of reality.

Identifying corporate governance mechanisms to improve firm performance has been at the forefront of policy discussion and research in recent years. Existing research in this area focuses on large-capitalisation firms, and has not provided much insight on smaller firms. This paper tests for the optimality of deployment of governance mechanisms for Canadian small-cap firms by estimating a simultaneous equation system that links four control mechanisms to firm performance, using recent data. The results confirm simultaneity between several governance mechanisms and Canadian (...) small-cap firm performance. CEO ownership and shareholder rights are shown to determine board independence. CEO ownership in turn is shown to depend on the extent of shareholder rights and whether the CEO is also Chairperson of the board. Canadian small-cap firms appear to overutilise debt as a control mechanism. There is somewhat weaker evidence that board independence and CEO ownership are beyond the optimum. The latter, given the relatively high degree of CEO ownership in Canadian small-cap firms, is consistent with management entrenchment. We also do not find any significant discount to performance for Quebec-based firms, or for firms with dual or multiple voting class shares structures. (shrink)

ABSTRACTIn order to explain the effects found in the heuristics and biases literature, dual-process theories of reasoning claim that human reasoning is of two kinds: Type-1 processing is fast, automatic, and associative, while Type-2 reasoning is slow, controlled, and rule based. If human reasoning is so divided, it would have important consequences for morality, epistemology, and philosophy of mind. Although dual-process theorists have typically argued for their position by way of an inference to the best explanation, they have (...) generally failed to consider alternative hypotheses. Worse still, it is unclear how we might test dual-process theories. In this article, I offer a one-system theory, which I call the Sound-Board Account of Reasoning, according to which there is one reasoning system which is flexible, allowing the properties used to distinguished Type-1 and Type-2 reasoning to cross-cut one another. The sense of touch provides us knowledge of two kinds of events. Tactile sensation (T) makes us aware of events on or just below the skin; haptic perception (H) gives us knowledge of things outside the body with which we are in contact. This paper argues that T and H are distinct experiences, and not (as some have argued) different aspects of the same touch-experience. In other words, T ≠ H. Moreover, H does not supervene on T. Secondly: In T, (...) we are aware of immanent, phenomenal qualities; in H, we come to know of transcendent qualities in things that exist independently of ourselves. Finally: T is non-spatial; it is indexed by parts of the body, but not by position in space. H, by contrast, is spatial. This study investigates whether and to what extent publicly listed corporations voluntarily comply with and disclose recommended good corporate governance practices, and distinctively examines whether the observed cross-sectional differences in such CG disclosures can be explained by ownership and board mechanisms with specific focus on Saudi Arabia. The study’s results suggest that corporations with larger boards, a Big 4 auditor, higher government ownership, a CG committee, and higher institutional ownership disclose considerably more than those that are not. By contrast, (...) the study finds that an increase in block ownership significantly reduces CG disclosure. The study’s results are generally robust to a number of econometric models that control for different types of disclosure indices, firm-specific characteristics, and firm-level fixed effects. Defining brain mechanisms that control and adapt motivated behavior will not only advance addiction treatment. It will help society see that addiction is a disease that erodes free will, rather than representing a free will that asks for or deserves consequences of drug-use choices. This science has important implications for understanding addiction's comorbidity in mental illness and reducing associated public health and criminal justice burdens.

Building on an overview of dual systems theories in behavioural economics, the paper presents a methodological assessment in terms of the mechanistic explanations framework that has gained prominence in philosophy of the neurosciences. I conclude that they fail to meet the standards of causal explanations and I suggest an alternative ‘dual functions’ view based on Marr’s methodology of computational neuroscience. Recent psychological and neuroscience research undermines the case for a categorization of brain processes in terms of properties such (...) as relative speed. I defend an interpretation of dualities as functional, without assigning them to specific neurophysiological structures. (shrink)

This paper defends the view that common nouns have a dual semantic structure that includes extension-determining and non-extension-determining components. I argue that the non-extension-determining components are part of linguistic meaning because they play a key compositional role in certain constructions, especially in privative noun phrases such as "fake gun" and "counterfeit document". Furthermore, I show that if we modify the compositional interpretation rules in certain simple ways, this dual content account of noun phrase modification can be implemented (...) in a type-driven formal semantic framework. In addition, I also argue against traditional accounts of privative noun phrases which can be paired with the assumption that nouns do not have a dual semantic structure. At the most general level, this paper presents a proposal for how we can begin to integrate a psychologically realistic account of lexical semantics with a linguistically plausible compositional semantic framework. Dual-ranking act-consequentialism (DRAC) is a rather peculiar version of act-consequentialism. Unlike more traditional forms of act-consequentialism, DRAC doesn’t take the deontic status of an action to be a function of some evaluative ranking of outcomes. Rather, it takes the deontic status of an action to be a function of some non-evaluative ranking that is in turn a function of two auxiliary rankings that are evaluative. I argue that DRAC is promising in that it can accommodate certain features of commonsense (...) morality that no single-ranking version of act-consequentialism can: supererogation, agent-centered options, and the self-other asymmetry. I also defend DRAC against three objections: (1) that its dual-ranking structure is ad hoc, (2) that it denies (putatively implausibly) that it is always permissible to make self-sacrifices that don’t make things worse for others, and (3) that it violates certain axioms of expected utility theory, viz., transitivity and independence. This article introduces the class of dual character concepts and discusses various accounts of their content and structure. In this article we present an advanced version of Dual-PECCS, a cognitively-inspired knowledge representation and reasoning system aimed at extending the capabilities of artificial systems in conceptual categorization tasks. It combines different sorts of common-sense categorization (prototypical and exemplars-based categorization) with standard monotonic categorization procedures. These different types of inferential procedures are reconciled according to the tenets coming from the dual process theory of reasoning. On the other hand, from a representational perspective, the system relies on the hypothesis (...) of conceptual structures represented as heterogeneous proxytypes. Dual-PECCS has been experimentally assessed in a task of conceptual categorization where a target concept illustrated by a simple common-sense linguistic description had to be identified by resorting to a mix of categorization strategies, and its output has been compared to human responses. The obtained results suggest that our approach can be beneficial to improve the representational and reasoning conceptual capabilities of standard cognitive artificial systems, and –in addition– that it may be plausibly applied to different general computational models of cognition. The current version of the system, in fact, extends our previous work, in that Dual-PECCS is now integrated and tested into two cognitive architectures, ACT-R and CLARION, implementing different assumptions on the underlying invariant structures governing human cognition. The rule against bias is a central tenet of English law and it also impacts on collegiate courts which typically exercise appellate/review jurisdictions over their professional or student members. This is true of the Bar Standards Board which has established the adjudicatory bodies to enforce its regulatory framework and has vested the procedure of fair trials upon the Council of the Inns of Court which is responsible for appointing the Disciplinary Tribunal panels that conduct hearings for professional misconduct. The (...) COIC has been exposed for ‘irregularities’ in the findings of guilt against barristers who have been adjudged by non-qualified judges. In R v Visitors to the Inns of Court and Ors [2014] EWCA Civ 1630, the Court of Appeal ruled that a disciplinary tribunal or a panel of visitors appointed from barristers or lay representatives outside its pool of enrolled judges would still ensure independence and guarantee freedom from outside pressure. The impugned tribunal members who were not entitled to sit nevertheless had authority to act as de facto judges. This part of the ruling reinforces the regulatory bodies inherent power to appoint its own tribunal to adjudicate and it needs a more rigorous application of natural justice principle on the part of the BSB. The concepts expressed by social role terms such as artist and scientist are unique in that they seem to allow two independent criteria for categorization, one of which is inherently normative. This study presents and tests an account of the content and structure of the normative dimension of these “dual character concepts.” Experiment 1 suggests that the normative dimension of a social role concept represents the commitment to fulfill the idealized basic function associated with the role. Background information (...) can affect which basic function is associated with each social role. However, Experiment 2 indicates that the normative dimension always represents the relevant commitment as an end in itself. We argue that social role concepts represent the commitments to basic functions because that information is crucial to predict the future social roles and role-dependent behavior of others. (shrink)

OBJECTIVE: To apply component analysis, a structured approach to the ethical analysis of risks and potential benefits in research, to published emergency research using a waiver of/exception from informed consent. The hypothesis was that component analysis could be used with a high degree of interrater reliability, and that the vast majority of emergency research would comply with a minimal-risk threshold. METHODS: A Medline search and manual search were done to identify studies using a waiver of/exception from informed consent published between (...) July 1996 and December 2000. A review panel of physicians and bioethicists independently classified nontherapeutic procedures in each study as minimal risk, probably minimal risk, or probably more than minimal risk. RESULTS: Seventy studies using a waiver of/exception from informed consent were identified. A majority of reviewers classified nontherapeutic procedures in 62 studies (88.6%) as minimal risk. Reviewers classified nontherapeutic procedures in six studies (8.6%) as minimal risk or probably minimal risk. In two studies (2.9%), nontherapeutic procedures were classified as probably more than minimal risk. The intraclass correlation coefficient was 0.89 (95% CI = 0.85 to 0.93), indicating very high interrater reliability. CONCLUSIONS: Component analysis can be used with high reliability to review emergency research and may improve the consistency of institutional review board review of emergency research. The vast majority of published emergency research performed using a waiver of/exception from consent complies with a properly-applied minimal-risk threshold. A minimal-risk threshold for nontherapeutic procedures protects subjects better than current U.S. regulations while permitting important emergency research to continue. (shrink)

The extended dual-aspect monism framework of consciousness, based on neuroscience, consists of five components: (1) dual-aspect primal entities; (2) neural-Darwinism: co-evolution and co-development of subjective experiences (SEs) and associated neural-nets from the mental aspect (that carries the SEs/proto-experiences (PEs) in superposed and unexpressed form) and the material aspect (mass, charge, spin and space-time) of fundamental entities (elementary particles), respectively and co-tuning via sensorimotor interaction; (3) matching and selection processes: interaction of two modes, namely, (a) the non-tilde mode that (...) is the material and mental aspect of cognition (memory and attention) related feedback signals in a neural-network, which is the cognitive nearest past approaching towards present; and (b) the tilde mode that is the material and mental aspect of the feed forward signals due to external environmental input and internal endogenous input, which is the nearest future approaching towards present and is a entropy-reversed representation of non-tilde mode; (4) the segregation and integration of information, and (5) the necessary ingredients of SEs (such as wakefulness, attention, re-entry, working memory, stimulus at or above threshold level, and neural-net PEs). This framework leads to structural and functional coherence between the mind and the brain, bridges the explanatory gap (the gap between SEs and their neural-correlates), and leads to our mundane subjective experiences. This extended dual-aspect monism (eDAM) framework (Vimal, 2008, 2010, 2013, 2015a, 2015b) could be the fundamental basis of various religions and philosophies. This is a Western perspective. On the other hand, Eastern perspectives emphasize the practical methods for achieving altered experience at samadhi state. An important corollary of these methods (such as yogic method) is the sublimation of negative aspects of seven groups of self-protective energy system (desire, anger, ego, greed, attachment, jealousy, and selfish-love) into their positive aspects. Their negative aspects create war and suffering, whereas their positive aspects advance science and technology, family values, peace, and happiness. Here, the Western perspective framework is extended to include the concepts of the sublimation process to encompass Eastern perspectives. The four elements (war, suffering, peace, and happiness) are ubiquitous in both space and time because they are essential contributors to the variations for natural selection in our evolutionary system. The sublimation process optimizes the system: minimizes war and suffering, maximizes peace and happiness, and enhances family values and individual progress. In this paper, we draw on insights from theories in the management and corporate governance literature to develop a theoretical model that makes explicit the links between a firm’s corporate social responsibility related board attributes, its board CSR strategy, and its environmental and social performance. We then test the model using structural equation modeling approach. We find that the greater the CSR orientation of the board, the more proactive and comprehensive the firm’s CSR strategy, and the higher (...) its environmental and social performance. Moreover, we find this link to be endogenous and self-reinforcing, with superior CSR performers tending to further strengthen their board CSR orientation. This result while positive is also suggestive of the widening of the gap between the leads and laggards in CSR. Therefore, the question arises as to how ‘leaders’ are using their superior CSR competencies seen by many scholars as a source of corporate competitive advantage. Stakeholders of corporations therefore need to be cognizant of this aspect of CSR when evaluating a firm’s CSR activities. Policy makers also need to be cognizant of these concerns when designing regulation in this field. (shrink)

Although the composition of the board of directors has important implications for different aspects of firm performance, prior studies tend to focus on financial performance. The effects of board composition on corporate social responsibility (CSR) performance remain an under-researched area, particularly in the period following the enactment of the Sarbanes-Oxley Act of 2002 (SOX). This article specifically examines two important aspects of board composition (i.e., the presence of outside directors and the presence of women directors) and their (...) relationship with CSR performance in the Post-SOX era. With data covering over 500 of the largest companies listed on the U.S. stock exchanges and spanning 64 different industries, we find empirical evidence showing that greater presence of outside and women directors is linked to better CSR performance within a firm’s industry. Treating CSR performance as the reflection of a firm’s moral legitimacy, our study suggests that deliberate structuring of corporate boards may be an effective approach to enhance a firm’s moral legitimacy. The goal of this essay is to put forward an original theory of artifact function, which takes on board the results of the debate on the notion of biological function and also accommodates the distinctive aspects of artifacts. More precisely, the paper develops and defends the Dual-Aspect Theory, which is a monist account according to which an artifact’s function depends on intentional and reproductive aspects. It is argued that this approach meets a set of theoretical and meta-theoretical desiderata (...) and is superior to alternative views. (shrink)

Two prevailing accounts of the structure of the mind have been provided, respectively, by the Dual System Theory and by the Massive Modularity Hypothesis. It has been claimed, however, that they cannot both be true at the same time, i.e., that they are incompatible and, thus, that one of them must be abandoned. I will offer some arguments to challenge this claim. I will show that a plausible understanding of each theory makes it possible for them both to (...) be true at the same time. This study analyzes how the board’s characteristics could be associated with globally corporate social responsibility CSR and specific areas of CSR. It is drawn on all listed firms, in 2016, on the SBF120 between 2003 and 2016. Our results provide strong evidence that diversity in boards and diversity of boards globally are positively associated with corporate social performance. However, they influence differently specific dimensions of CSR performance. First, we show that large boards are positively associated with all areas of (...) CSR performance, while specific and overall CSR scores are negatively associated with CEO-chair structures. Second, board gender diversity is positively associated with human rights and corporate governance dimensions. Third, age diversity is positively associated with corporate governance, human resources, human rights, and environmental activities. Also, our results provide evidence that outside directors care about CSR performance. Specifically, the presence of foreign directors is positively associated with environmental performance and community involvement, whereas CSR-Governance dimension is positively associated with the presence of independent directors. Regarding the director’s educational level, post-graduated directors are positively and significantly associated with overall CSR score and all CSR sub-scores, except the corporate governance one. When directors have multiple directorships, they are more concerned about human resources, environmental performance, and business ethics. Finally, our findings are robust only in non-family firms. In fact, family boards are less diverse than non-family ones; specifically, they have a lower number of independent, foreign, and high-educated directors. (shrink)

I argue that, under the glitz, dual theories are examples of theoretically equivalent descriptions of the same underlying physical content: I distinguish them from cases of genuine underdetermination on the grounds that there is no real incompatibility involved between the descriptions. The incompatibility is at the level of unphysical structure. Professionalism requires that physicians uphold the best interests of patients while simultaneously insuring just use of health care resources. Current articulations of these obligations like the American Board of Internal Medicine Foundation's Physician Charter do not reconcile how these obligations fit together when they conflict. This is the problem of dual agency. The most common ways of dealing with dual agency: “bunkering”—physicians act as though societal cost issues are not their problem; “bailing”—physicians assume that they are merely (...) agents of society and deliver care typically based on a strongly consequentialist public health ethic; or “balancing”—a vaguely specified attempt to uphold both patient welfare and societal need for judicious resource use simultaneously—all fail. Here I propose how the problem of dual agency might begin to be addressed with rigor and consistency. Without dealing with the dual agency problem and getting more specific about how to reconcile its norms when they conflict, the expectations of professionalism risk being written off as cute, nonbinding aphorisms from the medical profession. Upper echelons theory posits that organisational performance reflects the personal values and cognitive frames of the top management team and, crucially, that greater heterogeneity in individual backgrounds of senior executives leads to better outcomes. However, often missing from this research is a more developed account of how this relationship between the characteristics of TMTs and performance is also mediated by internal conditions within organisations. In this paper we begin to address this deficiency focusing on the mediating impact of employee satisfaction (...) and the styles and practices of line managers. Looking at the empirical case of English National Health Services acute care hospital trusts, we use a multiple mediation model to analyse the relationship between board heterogeneity, performance and these two organisational factors. A variance-based structural equation modelling approach is applied to a sample of 102 boards of directors. First, the results lend support to the UE hypothesis that there is a positive impact of board heterogeneity and hospital-level performance. Second, the analysis shows that the relationship heterogeneity–performance is positively influenced by: the styles and practices of line managers; the levels of staff satisfaction; and by their mutually reinforcing roles. Business ethics is one of the most significant demands made by institutional and individual investors, who usually require the participation of the board of directors in the planning and implementation of ethical behaviour in corporations. This is done by drawing up an ethics code and then monitoring its fulfilment. This study has a dual objective: first, to analyse the role played by the composition of the board of directors, and by that we mean its independence and the (...) diversity of its members, on the implementation and scope of an EC, and, second, to detect whether the corporate governance system moderates the level of involvement of the board in ethical issues. The findings obtained from a data panel sample made up of 760 listed companies from 12 countries for the years 2003–2009 show that the largest companies with large-sized and diverse boards implement the most developed ECs. Nevertheless, the extent of involvement of the independent directors is conditioned by the level of shareholder orientation characteristic of the system of CG in the corporation’s country of origin. On a traditional or default view of the grasping or understanding of a singular proposition by an individual, it is assumed to be a unitary or holistic activity. However, naturalistic views of cognition plausibly could analyze propositional thinking in terms of more than one distinctive functional stage of cognitive processing, suggesting at least the potential legitimacy of a non-unitary analysis of propositional grasping.
