A recent French reform has revised the legal definition of the corporation. In essence, the law stipulates that the corporation must be run with due regard to the social and environmental impacts of its activity. It also introduces the notion of raison d’être and affords the possibility for any corporation to assign social or environmental purposes to itself, defined in its by-laws. This reform is similar to recent reforms in the UK and the US, but is based on an original (...) and distinctive theoretical argument. The aim of our article is to analyze the fundamental tenets of this reform and their implications for the theory of the corporation. It shows that the new law is based on a new positive definition of the enterprise as not only an economic organization or a productive entity, but more fundamentally a space for innovative collective action. We argue that this view of the enterprise challenges our conceptualization of the corporation in two important ways. First, it shows that the traditional theories overlook the activities of the enterprise and their related impacts, and that the corporation is not necessarily the appropriate legal vehicle for the innovative enterprise. Second, it suggests that the stipulation of the enterprise’s purpose or raison d’être in the corporate by-laws can provide new promising legal foundations for corporate responsibility. (shrink)

This paper discusses the problematic use of the “pragmatic credo” – defined as a minimal set of basic pragmatist propositions – in practice, especially when facing creation. To do so, we analyze how managers deal with “art-based firms” and provide results from an in-depth case study of a small firm operating in garden art and design (Béjean 2015; 2008). The findings are interpreted in light of previous theoretical developments in management theory (Hatchuel European Management Review, 2(1): 36–47.), as well as (...) symbol theory (Goodman 1968; 1978). They suggest that, while appearing wise and reasonable, the pragmatic credo as embodied in practical management doctrines rather inhibits collective action and masks the necessary revision of symbolic “orders of action”, defined as the way action is itself pre-categorized by a special class of symbols. The paper concludes by providing further insights of how an “epistemology of action” could contribute to enriching both pragmatism and management, especially when action is no longer the solution to resort to but rather the enigma to unfold. L’entreprise est une association de partenaires dans (...) une création collective de modes de vie, dont les partenaires financiers, mais aussi les ingénieurs, les consommateurs, le personnel. This text proposes a generic epistemology, relatively independent of any discipline, with the aim of understanding newly emerging scientific objects and disciplines, as well as new logics of interdisciplinarity. This epistemology is also relatively independent of the present, requiring a thinking of the future as something other than the realization of the present ; somewhat like that suggested by the practice of scenario planning. It does not supplant ?disciplinary; epistemology, but seeks to demonstrate, through their simultaneous exercise, the passage from (...) a critical to a fictional paradigm, where disciplines are decentred and philosophies immersed in the sciences ; not the ?established; sciences we know from descriptions constructed along the lines of classical disciplines, but emergent or future sciences, for which the intention of the researcher is constitutive. The question is no longer that of the criteria of scientificity, but that of the identity of science. (shrink)
