The aim of this article is to analyse the Report on good corporate governance (Olivencia Report) from an ethical point of view. This report was drawn up by a group of experts at the request of the National Commission of the Spanish Stock Exchange Commission (Comisión Nacional del Mercado de Valores), in winter 1998, and began to be implemented over late 1998.This paper is the result of several sessions of discussions with businessmen and managers about the role that can (...) be played by the Olivencia Report, its virtues and weaknesses. The main purpose of this article is to analyse one aspect of Spanish business ethics: the role of the transparency and quality of the economic and financial information given to meet the demands and requirements of shareholders. To that end we concentrate firstly on analysing the Spanish capital market and the situation of shareholders prior to the publication in February 1988 of the Code of Best Practice for Spanish Companies, drawn up by a Special Committee created (...) at the request of the Ministry of Economy and Finance. We analyse the importance of the behaviour and actions of three groups which are fundamental to assuring quality and transparency of information: those who prepare financial statements, the Board of Directors (particularly the Audit Committee) and the external auditors. This two country study examines the effect of corporate ethical values and enforcement of a code of ethics on perceptions of the role of ethics in the overall success of the firm. Additionally, the impact of organizational commitment and of individual variables such as ethical idealism and relativism was examined. The rationale for examining the perceived importance of the role of ethics in this manner is to determine the extent to which the organization itself can influence employee perceptions regarding (...) ethics and social responsibility. Results indicate that all of the variables tested, except relativism, impacted upon one’s perceptions of the importance of ethics and social responsibility. Perceptions of the importance of ethics and social responsibility also varied depending upon country of residence with the U.S. sample having somewhat higher perceptions concerning the importance of ethics and social responsibility than their counterparts in Spain. Furthermore, when comparing the two samples, the U.S. sample had significantly higher corporate ethical values, greater enforcement of ethical codes, less organizational commitment and both lower idealism and relativism. On 30 June 2005, the Spanish Parliament approved Law 13/2005, which amends the Civil Code to permit same-sex marriage. This formal equality measure put Spain in the spotlight of the international media. It is the culmination of a series of developments spanning from the last years of the Franco regime (which ended in 1975), through the enactment of anti-discrimination measures in 1995, to the recent fight for kinship recognition. It also follows a recent shift, from 1998 to 2005, (...) towards the enactment of same-sex partnership laws at regional level, the approval of same-sex marriage and finally, the approval of a ‹gender identity law’ (2007). This legislative note assesses the context in which the new law on same-sex marriage has been enacted. I argue that although same-sex marriage has been represented by many activists and politicians in Spain as a gender neutral contract, it has the potential for differential impacts on lesbians and gay men, and further research and debates are needed in this area. The article provides an analysis of the “Spanish code” inscribed in the text of Lesia Ukrainka’s drama Kaminnyi hospodar. The constituents of the code include: 1) conventions of 17th century Spanish baroque drama, in particular, use of the dialectics of the concepts of dignity and reputation as a driving mechanism for confl ict throughout Lesia Ukrainka’s play and transformation within the classical scheme of characters suggested by Lope de Vega and his followers; 2) stereotypes of “Spanishness” (...) through which the playwright produced a heteroimage of Spain. Lesia Ukrainka’s variant of the famous legend of Don Juan is a sophisticated modernist drama. The “Spanish code” serves as a prism through which the playwright examines the world. Lesia Ukrainka created an astonishing modernist tragicomedy of dishonesty, full of the spirit of uncertainty. (shrink)

The contentious question of bilingual processing cost may be recast as a fresh question of code-switching (CS) strategies—quantitative preferences and structural adjustments for switching at particular junctures of two languages. CS strategies are established by considering prosodic and syntactic variables, capitalizing here on bidirectional multi-word CS, spontaneously produced by members of a bilingual community in northern New Mexico who regularly use both languages (Torres Cacoullos and Travis, 2018). CS strategies become apparent by extending the equivalence constraint, which states that (...) bilinguals avoid CS at points of word placement conflict (Poplack, 1980), to examine points of inconsistent equivalence between the languages. Such sites of variable equivalence are junctures where the word strings of the two languages are equivalent only sometimes due to language-internal variable structures. A case in point for the English-Spanish language pair is the boundary between main and complement clauses, where a conjunction occurs always in Spanish but variably in English. The prosodic distancing strategy is to separate the juncture of the two languages. Here the complement clause appears in a different prosodic unit from the main clause, disproportionately as compared both with monolingual benchmarks and with bilinguals' own unilingual English and Spanish. Prosodic distancing serves to mitigate variable equivalence. The syntactic selection strategy is to opt for the variant that is more quantitatively available and more discourse neutral. Here the preference is for the Spanish complementizer que—regardless of main or complement clause language— which is the more frequent option in bilinguals' combined experience in both their languages, whereas English complementizer that is subject to a number of conditioning factors. Syntactic selection serves to restore equivalence at sites of variable equivalence. Discovery of community CS strategies may spur reconsideration of processing cost as a matter of relative difficulty, which will depend on bilinguals' prosodic and syntactic choices at particular CS sites. Se presenta la dinámica sociolingüística del contacto entre el mapudungun y el castellano de Chile en una comunidad² rural bilingüe mapuche-castellano. Se analiza la interacción lingüística entre los códigos en dominios vinculados con la transmisión intergeneracional, ámbitos de uso y eventos comunicativos que ocurren en la comunidad. La información se obtuvo a partir de la aplicación de un cuestionario sociolingüístico dirigido a 20 habitantes de la zona lafkenche de Isla Huapi, IX Región de La Araucanía. Los datos proporcionados permiten describir (...) los procesos interactivos entre ambos códigos y proyectar la formación de una variedad de castellano particular que se habla en estas comunidades. Lo anterior, bajo el marco de referencia propuesto por Godenzzi (2007), quien valida la formación de variedades singulares, las cuales se originan en situaciones de conflictos sociolingüísticos históricos que operan bajo dinámicas de oposición y complementariedad. This research exposes the sociolinguistic contact between mapudungun and Spanish of Chile inside of a bilingual rural community mapuche/spanish. We review the linguistic interaction between both codes in sociolinguistics domains related with the intergenerational transmission, the sociolinguistic domains and the communicative events. The information has been extracted from a sociolinguistic questionnaire applied to 20 people living in the lafkenche area of Isla Huapi. The collected data allows us to describe the interactive processes between the codes and to predict the formation of a different type of Spanish spoken in these communities. All of this occurs under the framework suggested by Godenzzi (2007) who validates the formation of particular language varieties, which are created in situations of historical sociolinguistic conflicts characterized by dynamics of opposition and complementarity. This paper reports on a study of the largest Spanish corporations concerning the status of corporate ethics policies. The research project, the first of its kind in Spain, has two parts. First, the types of formal documents the companies use are analysed, including those dealing with ethical values or norms. Three groups of companies are distinguished: the first group has no formal documents dealing with ethical values, and the reasons given for not having any ethical statement are discussed. A (...) second group has one document mentioning ethical values (generally the vision and/or mission statement), and a third group has in place two or more documents (one generic and the other more detailed, such as a code of conduct). The findings show that the latter group is more proactive than the former in implementing measures for promoting business ethics throughout the organisation. In the second part of the research, the study analyses the differences between companies whose headquarters are in Spain, Europe and USA regarding the arguments, the focus and the practices used to formalise business ethics. Resumen Este artículo tiene como propósito central presentar los resultados de una investigación sobre el funcionamiento de las coletillas interrogativas en un corpus oral del español de Chile desde una perspectiva sistémico funcional del lenguaje. Las categorías de análisis interpersonal se derivan de los estratos semántico-discursivo y léxico-gramatical. En el estrato de los significados se han considerado la función de habla y la mercancía semiótica, mientras que en el estrato de la codificación los modos de cláusula y la ubicación de (...) coletilla en la cláusula. Se concluye que la coletilla es un recurso productivo para la expresión de significados interpersonales en todas las funciones de habla. Se integra mayormente en movimientos que cumplen el rol de “dar”, en tanto que la principal materia de negociación es “información”. Dentro del sistema de MODO, se integran en posición final de cláusulas declarativas y en menor medida en cláusulas imperativas e interrogativas. Abstract The main purpose of this paper is to present the results of an investigation about functioning of tag questions in oral corpus of Chilean Spanish from a systemic-functional language perspective. The categories of interpersonal analysis are derived from the semantic-discursive and lexical-grammatical strata. In the meaning stratum, the speech function and the semiotic commodity have been considered, while in the coding stratum, the clause modes and the location of the tag question in the clause have been considered. It is concluded that the tag question is a productive resource for the expression of interpersonal meanings in all speech functions. It is mostly integrated in moves that fulfill the role of ‘give’, while the main subject of negotiation is ‘information’. Within the mood system, they are mostly integrated in final position of declarative clauses and to a lesser extent in imperative and interrogative clauses. (shrink)

The essays in Rhetorical Spaces grow out of Lorraine Code's ongoing commitment to engaging philosophical issues as they figure in people's everyday lives. The arguements in this book are informed at once by the moral-political implications of how knowledge is produced and circulated and by issues of gendered subjectivity. In their critical dimension, these lucid essays engage with the incapacity of the philosophical mainstream's dominant epistemologies to offer regulative principles that guide people in the epistemic projects that figure centrally (...) in their lives. In its constructive dimension, Rhetorical Spaces focuses on developing productive, case-by-case analyses of knowing other people in situations where social-political inequalities create asymmetrical patterns of epistemic power and privilege. Framing all of the essays is the conception of rhetorical spaces which shows that prevailing intellectual-political climates can work to enhance or to thwart possibilities of establishing cognitive authority for the members of a society who belong to groups other than the dominant ones. Finally, bridging the gap between theory and practice, Lorraine Code shows how the issue of reconfiguring structures of authority and expertise are not just matters of individual responsibility, but require a radical restructuring of the communities and social orders in which people know and act. PurposeCodes of ethics are important instruments in journalism, as they promote transparency and self-regulation of media, in addition to monitoring the quality of information. The purpose of this paper is to analyse the perceptions that Spanish journalists have of the effectiveness of codes of ethics and to evaluate the different personal and professional variables which condition this vision.Design/methodology/approachThe methodology used in the present study is based on quantitative content analysis using the survey technique. This technique makes it possible to (...) obtain empirical data on various key aspects of the profession that are determining factors in ascertaining Spanish journalists’ views of one of the instruments of accountability that is external to the media: general ethical codes.FindingsThe results show that Spanish journalists are largely confident in the effectiveness of ethical codes in their profession. Likewise, it was seen that variables such as age, professional experience or the media with which they work influence the perceptions that professionals have of such instruments.Originality/valueIf understanding journalism as a profession whose mission is to guarantee the citizens their right to information, then it is essential to be familiar with the tools provided by the profession itself to be accountable to the public regarding this professional mission. The article deals with the sociocultural and historical background of the Olivencia Report and relates this to the document's content, particularly, to its recommendations for Spanish Boards. A discussion of the distinctively Spanish understandings of loyalty, due diligence and transparency is included. The work ends with insights into parallelisms between corporate governance and political government, specifically on the role of culture, democratic representation and accountability, the distribution of power, the protection of property rights and equality.

Resumen: Chile, a pesar de su historia migratoria, no ha generado programas educativos sustentados por políticas gubernamentales que propicien la adquisición de la variedad lingüística de la comunidad de acogida, por parte de la inmigración no hispanoparlante, integrando los referentes culturales de ambos colectivos. Se propone una alternativa a este olvido histórico y nos planteamos lo siguiente: ¿Qué elementos debiesen integrar un programa de adquisición de la variedad lingüística de la comunidad de acogida dirigido a inmigrantes haitianos propiciando el conocimiento (...) cultural? Se presenta el diseño e implementación de un programa que adopta la Hipótesis de Interdependencia Lingüística, en un aula dinámica donde se trabaja de forma colaborativa y situada. Se concluye que es posible educar en una segunda lengua a partir de la incorporación de elementos que propicien la interrelación de los aprendices en igualdad de conocimientos, y el uso de los códigos lingüísticos de los participantes como manifestación de respeto e interés por lo que cada uno pueda aportar a partir de su L1, develando su cultura de origen.: Chile, despite having a migration history, has not generated educational programs supported by government policies that encourage the acquisition of the linguistic variety of the host society, by non-Spanish-speaking immigration community, integrating the cultural referents of both collectives. It is suggested an option to this historical oblivion and we consider the following: What elements should be integrated into a program for acquiring the linguistic variety of the host society focused to Haitian immigrants fostering the cultural recognition? It is presented the design and implementation of a program that adopts the Linguistic Interdependence Hypothesis in a dynamic classroom working in a collaborative and situated way. As a conclusion, it is possible to educate in a second language from a program that incorporates elements that promote the interrelation of all participants in equality of knowledge, as well as the use of participants’ linguistic codes as a manifestation of respect and interest for what each participant can contribute from his/her L1, revealing their culture of origin. The Principles of European Law on Commercial Agency, Franchise and Distribution Contracts are an academic proposal of the Study Group on a European Civil Code for the European-wide regulation of the contents of these three types of agreements. The academic analysis "Franchising in European Contract Law" focuses on the harmonised Principles on Franchising. At present all member states of the EU have their own regulation on franchising. This situation might change in the light of the political process of Europeanization (...) of contract law that was initiated by the European Commission in 2001. As a result of that process the Principles on Franchising could be declared a set of rules which might be opted for by the parties to franchising contracts Europe-wide to govern their relationship. In this analysis the main obligations in franchising in PEL CAFDC are compared with those under French and Spanish law. The main conclusion of this thesis research has been that the main obligations of parties in franchising under the PEL CAFDC resemble those under French and Spanish law. Eventually, differences will arise depending on how national courts weigh the interests of the parties in each case. A second conclusion has been that a choice for the PEL CAFDC instead of for French and Spanish law could be considered a rational alternative concerning the applicable system of remedies and legal certainty. The Light Subject Constraint in Spoken Spanish The purpose of this study is to explore Chafe's hypothesis that grammatical subjects obey the light subject constraint. The data consists of six half-an-hour semiformal interviews with Caracas native speakers recorded in 1987. Chafe's hypothesis is based on the claim that in any given clause one of the referents receives the unique and special status of grammatical subject. Subjects show two types of restrictions: i) from the information load perspective, they tend to (...) code given or accessible rather than new information; and ii) from a referential viewpoint, they can have three degrees of importance: primary, secondary or trivial. Information load and referential importance combined constitute the LSC: Chafe's findings prove that in English subjects tend, on the one hand, to be given or accessible and, on the other, of primary or secondary importance. Heavy subjects, on the contrary, tend to be of trivial importance. Broderick 1999 confirms the LSC's existence in a conversational English corpus. All subjects in the corpus have been coded according to information load and referential importance. The results of the analysis show that spoken Spanish also conforms to LSC. (shrink)

This study focuses on eugenics in Spain, and more specifically on the ‘official’ eugenics whose platform was the Primeras Jornadas Eugénicas Españolas . The aim of this paper is to relate eugenics to ‘governmentality’ rather than to State politics alone and to ‘Latin eugenics’ rather than to ‘mainline eugenics’. On the one hand, the FSED were largely centred on the development of a new sexual code which would set Catholic sexual morality aside. For this reason, sexual pedagogy was one (...) of the most relevant topics during the FSED, personal responsibility becoming the first step to social change. The concern about making people play an active role in their own self-regulation is typical of governmentality. The latter refers to societies where power is decentered and where the objective is to structure the field of action of others . On the other hand, the FSED emphasised preventive eugenics such as welfare programmes and health campaigns rather than negative eugenics such as the sterilisation of the unfit. The situation in Spain was mirrored in countries such as Brazil, Argentina and Mexico, which allows us to think about them in terms of ‘Latin eugenics’ rather than ‘mainline eugenics’ from countries such as Great Britain, Germany and the USA. This book takes readers on a philosophical discovery of a forgotten treasure, one born in the 14th century but which appears to belong to the 21st. It presents a critical, up-to-date analysis of Santob de Carrión, also known as Sem Tob, a writer and thinker whose philosophy arose in the Spain of the three great cultures: Jews, Christians, and Muslims, who then coexisted in peace. The author first presents a historical and cultural introduction that provides biographical detail as well as (...) context for a greater understand of Santob's philosophy. Next, the book offers a dialogue with the work itself, which looks at politics, sociology, anthropology, psychology, ethics, aesthetics, metaphysics, and theodicy. The aim is not to provide an exhaustive analysis, or to comment on each and every verse, but rather to deal only with the most relevant for today’s world. Readers will discover how Santob believed knowledge must be dynamic, and tolerance fundamental, fleeing from dogma, since one cannot avoid a significant dose of moral and aesthetic relativism. Subjectivity, within its own codes, must seek a profound ethics, not puritanical but which serves to escape from general ill will. Santob offers a criticism of wealth and power that does not serve the people which appears to be totally relevant today. In spite of the fame he achieved in his own time, Santob has largely remained a vestige of the past. By the end of this book, readers will come to see why this important figure deserves to be more widely studied. Indeed, not only has this medieval Spanish philosopher searched for truth in an unstable, confused world of contradictions, but he has done so in a way that can still help us today. (shrink)

Should CSR be approached only on a voluntary basis or should it be complemented with a compulsory regulatory framework? What type of government intervention is more effective in fostering CSR among companies? This paper is an attempt to answer these questions, reviewing the debate between proponents of the voluntary case and the obligatory case for CSR, and critically analysing current international government-led initiatives to foster CSR among companies, and national government-led initiatives in the EU area. Finally, the paper focuses on (...) the Spanish case, as an example of the failure of an exclusively voluntary approach. Despite the rapid uprise of CSR, Spain is still far behind late in CSR promotion strategies. Most action has been undertaken by companies themselves with no common guidelines, governmental support, or independent verification. The lack of a regulatory framework for CSR or ethical investment issues and the virtual absence of other indirect incentives, explains the misbalance between private, public and Third Sector initiatives. Based on the Spanish context which is quite similar to other non-OECD countries, the authors call for a more proactive government position in CSR related issues. The conclusions of the paper detail the features of this regulatory framework and other policies to promote CSR in Spain as well as in other OECD countries. (shrink)

Arguing that ecological thinking can animate an epistemology capable of addressing feminist, multicultural, and other post-colonial concerns, this book critiques the instrumental rationality, hyperbolized autonomy, abstract individualism, and exploitation of people and places that western epistemologies of mastery have legitimated. It proposes a politics of epistemic location, sensitive to the interplay of particularity and diversity, and focused on responsible epistemic practices. Starting from an epistemological approach implicit in Rachel Carson’s scientific projects, the book draws, constructively and critically, on ecological theory (...) and practice, on (post-Quinean) naturalized epistemology, and on feminist and post-colonial theory. Analyzing extended examples from developmental psychology, from medicine and law, and from circumstances where vulnerability, credibility, and public trust are at issue, the argument addresses the constitutive part played by an instituted social imaginary in shaping and regulating human lives. Feminist epistemologists who attempt to refigure epistemology must wrestle with a number of dualisms. This essay examines the ways Lorraine Code, Sandra Harding, and Susan Hekman reconceptualize the relationship between self/other, nature/culture, and subject/object as they struggle to reformulate objectivity and knowledge.

In this lively and accessible book Lorraine Code addresses one of the most controversial questions in contemporary theory of knowledge, a question of fundamental concern for feminist theory as well: Is the sex of the knower epistemologically significant? Responding in the affirmative, Code offers a radical alterantive to mainstream philosophy's terms for what counts as knowledge and how it is to be evaluated. Code first reviews the literature of established epistemologies and unmasks the prevailing assumption in Anglo-American (...) philosophy that "the knower" is a value-free and ideologically neutral abstraction. Approaching knowledge as a social construct produced and validated through critical dialogue, she defines the knower in light of a conception of subjectivity based on a personal relational model. Code maps out the relevance of the particular people involved in knowing: their historical specificity, the kinds of relationships they have, the effects of social position and power on those relationships, and the ways in which knowledge can change both knower and known. A relatively late arrival on the philosophical scene, feminist epistemology has evolved and undergone multiple refinements since, in 1981, I posed the then still outrageous question: “is the sex of the knower epistemologically significant?” At the time, that question was beginning to receive affirmative answers, within philosophy, from the essays in Sandra Harding and Merrill Hintikka's Discovering Reality: Feminist Perspectives on Epistemology, Metaphysics, Methodology, and Philosophy of Science, from Nancy Hartsock's Money, Sex, and Power: Toward a Feminist Historical Materialism, and (...) from Alison Jaggar's Feminist Politics and Human Nature, with its chapter on feminist epistemology, all published in 1983. These writings were mapping a new epistemic terrain within professional philosophy that was also being opened out in the work of such non‐philosophers as Dorothy Smith, Carol Gilligan, and Nancy Chodorow. Nonetheless, in the philosophical projects of the late 1960s and throughout the 1970s, even as feminist moral and political philosophy were growing to constitute an impressive body of critical‐constructive literature, the suggestion that analogous interventions were not merely indicated, but urgently required, in epistemology, philosophy of science, and even logic still sounded like a preposterous manifestation of ideological excess. Knowledge, science, and logic seemed, virtually by definition, to stand secure as the repositories and guardians of truth and objectivity, occupants of a space isolated and protected from the vagaries of politics and of gendered specificities. In this lively and accessible book Lorraine Code addresses one of the most controversial questions in contemporary theory of knowledge, a question of fundamental concern for feminist theory as well: Is the sex of the knower epistemologically significant? Responding in the affirmative, Code offers a radical alterantive to mainstream philosophy's terms for what counts as knowledge and how it is to be evaluated. Code first reviews the literature of established epistemologies and unmasks the prevailing assumption in Anglo-American (...) philosophy that "the knower" is a value-free and ideologically neutral abstraction. Approaching knowledge as a social construct produced and validated through critical dialogue, she defines the knower in light of a conception of subjectivity based on a personal relational model. Code maps out the relevance of the particular people involved in knowing: their historical specificity, the kinds of relationships they have, the effects of social position and power on those relationships, and the ways in which knowledge can change both knower and known. In an open, unregulated and globalised economy, it is logical that the problem of corporate government not only occupy the time of academics, but also preoccupy both companies and the public administration. Corporate governance varies depending on several factors, such as the culture of a particular country, the economic situation and the organisational structures. Thus, there is no single recipe which can be applied automatically and is universally valid in all contexts. However, it is possible to propose some general principles (...) which have duly stood the test of experience and are recognised as providing valuable guidance for efficient corporate governance.The aim of this article is to present the Spanish "Olivencia Report", which is an attempt to draft an "ethical code" containing a number of practices and principles, which, if they were to be applied, could improve the governance of the larger Spanish companies listed on the Stock Market. I evaluate post-Quinean naturalized epistemology as a resource for postcolonial and feminist epistemology. I argue that naturalistic inquiry into material conditions and institutions of knowledge production has most to offer epistemologists committed to maintaining continuity with the knowledge production of specifically located knowers. Yet naturalistic denigrations of folk epistemic practices and stereotyped, hence often oppressive, readings of human nature challenge the naturalness of the nature they claim to study. I outline an ecologically modelled epistemology that focuses on questions of epistemic (...) responsibility and community, while refusing the reductivism of totalizing theory, and producing realistic moral-epistemic analyses of specific, local epistemic resources to ground its normative injunctions. Addresses the meaning of rationality. The author argues that common conceptions of this notion are founded upon dubious myths of reason; and that systematic approaches to rational understanding are inherently limited by denying the cognitive value of myth and metaphor.

I offer an examination of trust relations in scientific inquiry as they seem to contrast with a lack of trust in an example of knowledge imposed from above by an unaccountable institutional power structure. On this basis I argue for a re-reading of John Hardwig's account of the place of trust in knowledge, and suggest that it translates less well than social epistemologists and others have assumed into a model for democratic epistemic practice.

Images of and references to women are so rare in the vast corpus of his published work that there seems to be no "woman question" for Hans-Georg Gadamer. Yet the authors of the fifteen essays included in this volume show that it is possible to read past Gadamer's silences about women and other Others to find rich resources for feminist theory and practice in his views of science, language, history, knowledge, medicine, and literature. While the essayists find much of value (...) in Gadamer's work, he emerges from their discussion as a controversial figure. Some contributors see him as promoting genuine respect for and engagement with Otherness: others claim that in a Gadamerian conversation the Other has no voice. For some, Gadamer's immersion in tradition is an impediment to feminist inquiry; for others, cognizant of the need to understand tradition well in order to contest its intransigence or benefit from its insights, his way of engaging tradition is especially productive. Some contributors take issue with the separation he maintains between philosophy and politics; others find problems in his relative silence on matters of embodiment; still others maintain that a "fusion of horizons" amounts to a colonizing of difference. But a common aim of each of these controversies is to discern what feminists can learn from Gadamer as well as what limitations feminist reinterpretations of his work must inevitably encounter.
